Terms of Service
Effective Date: 6/23/2025
1. Scope of Services
- We provide website design, hosting, marketing, branding, email setup, and related digital services.
- Services may be one-time or subscription-based.
2. Fees, Billing & Non-Refundable Payments
- All fees, including one-time and recurring charges, are strictly non-refundable.
- Subscription plans renew automatically unless cancelled in writing. Failure to pay may result in service suspension.
- We may send any unpaid balance to collections, and you agree to pay all related costs, including legal fees, agency fees, court costs, and interest.
- By submitting payment information, you authorize us to charge any payment method associated with your account, including cards that were previously removed or expired, for any unpaid balance, renewal, or outstanding invoice.
- You agree that we are not required to seek separate authorization for each transaction.
- In the event of non-payment, you agree that we may pursue recovery through all lawful means, including but not limited to placing liens, garnishing wages, and levying or freezing bank accounts or business assets as permitted by applicable law.
3. Client Obligations
You must provide all requested content and materials within 30 days of our request, regardless of the platform used (email, SMS, social media, project portal, etc.). Delays may result in incomplete services, project closure, or forfeiture of revision rights.
4. Cancellations & Termination
To cancel, you must email admin@godisplay.co at least 5 business days before your next billing date. Verbal or informal messages will not be accepted. We reserve the right to terminate service for any reason, including non-payment or policy violation.
5. Intellectual Property & Licensing Structure
A. Client Materials
By submitting any content (logos, images, copy, brand assets, etc.), you grant DisplaySMMA, LLC a perpetual, irrevocable, worldwide, royalty-free license to use, store, modify, distribute, archive, and display your materials for delivery, marketing, and internal purposes. This license is non-revocable and survives cancellation, dispute, or account termination.
B. Display Materials
All content, code, designs, branding, deliverables, and related assets created by us are owned by DisplaySMMA LLC. You are granted a limited, non-exclusive, non-transferable, revocable license to use these materials only if your account is fully paid and in good standing.
This license is revoked immediately if:
- A chargeback or dispute is filed,
- Your account is overdue,
- You cancel service or violate any term.
We may modify, revoke, or restrict access to any materials at our sole discretion without notice. All intellectual property rights remain with our affiliated IP entities.
6. Indemnification & Liability Disclaimer
You agree to indemnify, defend, and hold harmless NorthAmerican Investment Group LLC, DisplaySMMA LLC, and all officers, employees, and agents from any claims, damages, losses, or liabilities arising out of your use of our Services, including but not limited to reputational harm, brand damage, or third-party disputes.
Services are provided "as-is" with no warranties or guarantees.
7. Governing Law, Jurisdiction & Enforcement
This Agreement is governed by the laws of the State of Delaware. You irrevocably agree that all disputes shall be resolved exclusively through binding arbitration in Delaware under AAA rules.
You waive any right to other jurisdictions, jury trials, or class actions. Arbitration awards may be enforced in any court with proper jurisdiction. We may pursue equitable relief in any court as necessary to protect our intellectual property and enforce license terms.
This Agreement is enforceable throughout the U.S. and internationally.
